What you will do:
This is an excellent opportunity for a driven individual to play a crucial role as a corporate and commercial paralegal in a corporate setting. You will be instrumental in establishing a newly formed Legal Department for success, with significant growth opportunities and learning experience.
Working under the direct guidance and supervision of the Legal Director, you will collaborate closely with various stakeholders (external counsels, business and commercial partners, and members of different functional teams, such as Commercial, Finance, EHS, Quality, Operations, etc.)
How you will do it:
Agreements:
Assist with contract life cycle management (from initial drafting, execution, storage, termination, and compliance with contractual obligations of various types of agreements, including nondisclosure agreements, procurement, and sales contracts).
Provide support to the Commercial team managing independent channel sales distribution networks (onboarding, renewals, amendments, and termination). Perform research and analysis for the termination decision-making process.
Create and maintain a contract database and contract management tools.
Assist with creating and maintaining templates and playbooks, focusing on operational improvement and reducing contract review time.
Corporate secretarial:
Prepare and file required documents for the formation or dissolution of corporate entities, including board and shareholder minutes and consents.
Evaluate the corporate qualifications and business registrations, maintaining regular communication and coordination with outside counsel and corporate agents to address the requirements for annual filings, foreign qualifications, maintenance fees, business licenses, and other government filings to comply with local, state, and federal regulations.
Create and maintain a corporate information database (shares, officer, director, etc.)
Assist in responding to information requests from internal and external stakeholders.
Compliance:
Assist in the development and implementation of compliance programs and initial drafting of policies and training.
Manage electronic and physical documents to support the business organization’s compliance and operational requirements (including permits and licenses).
Research relevant laws, regulations, and legal articles.
Office Management:
Assist and review the allocation of financial resources (forecast expenses and budgets to ensure compliance with Finance and cash flow requirements).
Support external resources’ management (administration of vendors and law firms, including selection, onboarding, KPIs tracking, billing guidance compliance, and payments).
Organize and maintain filing systems, manage service of process, and office correspondence, both physical and digital.
Assist other functional teams with various projects (i.e., Finance, HR, Operations, and Commercial teams, on an as-needed basis).
What we look for:
Required:
Bachelor’s degree or equivalent.
Minimum of 5 years of experience in a similar role either in-house or at a law firm
Must have experience with contract, transactional work, and/or corporate secretary.
Excellent research, analytical, organization, and communication skills.
Self-starter with good problem-solving skills, detail-oriented, and client-service focus.
Proficient in Microsoft Office, database creation and maintenance, legal research, and matter management software.
Preferred
Paralegal certification
This position will be on-site at our location in Plano, TX.
